The Cardholder understands and agrees that this Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. The Cardholder understands and agrees that if any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable. The Cardholder understands and agrees that the Company may assign this Agreement, in whole or in part, at any time without notice to the Cardholder. The Cardholder understands and agrees that the Company’s failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision. The Cardholder understands and agrees that this Agreement and any rights and licenses granted hereunder may not be transferred or assigned by the Cardholder, but may be assigned by the Company without restriction. The Cardholder understands and agrees that any notification provided to the Cardholder under this Agreement may be provided by email, written notice, or through the Store. The Cardholder understands and agrees that the headings used in this Agreement are for convenience only and will have no legal or contractual effect. The Cardholder understands and agrees that this Agreement and the Cardholder’s use of the Store are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to principles of conflict of laws. The Cardholder hereby irrevocably attorns to the jurisdiction of the courts of the Province of Ontario. The Cardholder understands and agrees that any and all claims, causes of action or disputes that the Cardholder may have with respect to the Store must be commenced within one (1) year after the claim or cause of action arises. The Cardholder understands and agrees that, except as may be otherwise provided in this Agreement or as may be required by applicable law, the Cardholder will not be entitled to join or consolidate claims in arbitration by or against other individuals or entities, or arbitrate any claim as a representative or member of a class or in a private attorney general capacity. The Cardholder understands and agrees that the terms of this Agreement will survive any termination of the Cardholder’s use of the Store. The Cardholder has read and understands this Agreement and agrees to be bound by its terms and conditions.
